Company Secretary (CS)
30,000 - 62,000 ₹ / Per Month
Experience: 2-5 Years
Job DescriptionCompany Secretary
Saraf Corporation India Pvt. Ltd. is hiring an in-house Company Secretary to own statutory, secretarial and legal compliance across its group entities in Mumbai.
About the RoleSaraf Corporation India Pvt. Ltd. is a diversified, family-owned business group based in Andheri East, Mumbai, operating across catering, housekeeping, pest control, EPC contracts, and marine services. As the business has grown across these distinct lines, the company requires a dedicated, in-house Company Secretary to ensure it (and its group entities) stay compliant with the Companies Act, 2013 and other applicable corporate laws, while also handling the company’s broader legal and contractual compliance needs.
This is a full-time, on-site role for a qualified or semi-qualified Company Secretary who can independently manage statutory, secretarial and legal compliance for a privately-held, multi-business group — rather than a listed-company or capital-markets specialist role.
Key Responsibilities
Statutory & ROC compliance
• Ensure end-to-end compliance with the Companies Act, 2013, Secretarial Standards (SS-1, SS-2), and other applicable corporate laws across Saraf Corporation and its group entities.
• Prepare and file statutory forms, returns and annual filings (e.g. AOC-4, MGT-7, DIR-12, MGT-14) with the Registrar of Companies (ROC) / MCA within prescribed timelines.
• Handle director-related compliances — DIN, DSC, DIR-3 KYC, disclosure of interest, and related filings.
• Maintain and update statutory registers, records and minute books (register of members, directors, charges, etc.).
Board & governance support
• Convene and coordinate Board Meetings, Committee Meetings and the Annual General Meeting (AGM) — prepare notices, agendas, minutes and resolutions.
• Advise the Board/promoters on corporate governance practices, compliance risk, and matters requiring board or shareholder approval.
• Act as a point of liaison with the ROC, MCA, auditors, legal counsel, and other regulatory authorities as needed.
Legal & contractual compliance
• Draft, review and vet commercial agreements, MOUs, vendor and client contracts — including EPC and marine services contracts.
• Support compliance documentation required for EPC tenders and bids (compliance certificates, KYC/due-diligence documents, etc.).
• Track changes in corporate, contractual and other regulations applicable to the group’s business lines (catering, housekeeping, pest control, EPC, marine services) and flag compliance gaps.
• Support incorporation, registration or amendment-related compliance if new group entities are set up.
• Coordinate with the Finance/Accounts and HR teams on compliance matters that overlap with tax, labour, or statutory registrations.
General
• Maintain confidentiality of corporate records and sensitive business information.
• Keep the management informed of upcoming compliance deadlines and regulatory changes relevant to the group.
Qualifications & Eligibility
• Associate or Fellow Member of the Institute of Company Secretaries of India (ACS/FCS); candidates who have cleared the CS Professional programme and are pursuing ICSI membership will also be considered.
• Bachelor’s degree in Commerce, Law, or a related field; an LLB is an advantage but not mandatory.
• 3–6 years of relevant post-qualification experience in company secretarial practice, ideally including exposure to private limited / unlisted companies (experience with a group of companies or a diversified business is a plus).
• Prior experience in a CS firm, practicing company secretary’s office, or as an in-house CS with a private limited company.
• Familiarity with ROC/MCA filing requirements for private limited companies with paid-up capital in the range applicable to Saraf Corporation.
Skills & Competencies
• Strong working knowledge of the Companies Act, 2013, Secretarial Standards, and general corporate/contract law.
• Hands-on experience with MCA/ROC e-filing (including the MCA V3 portal).
• Sound drafting skills — board resolutions, minutes, notices, and commercial agreements.
• Working knowledge of FEMA and other cross-border compliance basics is an advantage, given the group’s international ties.
• Proficiency in MS Office (Word, Excel, PowerPoint) and comfort using compliance-tracking tools or trackers.
• Strong organisational skills with the ability to independently manage compliance calendars across multiple groups entities and business lines.
• Excellent written and verbal communication skills, with the ability to liaise confidently with promoters, directors, auditors and regulators.
• High attention to detail, discretion, and integrity in handling confidential corporate information.
• Ability to work independently in a lean, in-house legal/compliance function.
